Terms & Conditions for JournAI (Beta)

1. Acceptance of Terms

By downloading, installing, or using JournAI (“App,” “we,” “us,” or “our”) you agree to be bound by these Terms & Conditions (“Terms”). If you do not agree, do not use the App.

2. Beta Software Warning

JournAI is beta software and may contain defects. Features can change, break, or disappear without notice. You use the App at your own risk and understand that data loss or service interruptions may occur.

3. Eligibility

You must be 13 years or older and reside in a jurisdiction where software like this is legal. By using the App you represent that you meet these requirements.

4. License Grant

We grant you a personal, revocable, non‑transferable, non‑exclusive license to install and use one copy of the App on an Apple‑branded device you own or control, solely for personal, non‑commercial purposes and in accordance with these Terms, Apple’s App Store Terms of Service, and any applicable laws.

5. User Responsibilities

• Accuracy of Information: You must provide truthful, accurate information when signing up.
• Lawful Use: You will not use the App to violate any law, infringe intellectual‑property rights, or harass others.
• Security: You are responsible for maintaining the confidentiality of your device and any credentials used with the App.
• No Reverse Engineering: You may not decompile, disassemble, or attempt to derive the App’s source code except as allowed by law.

6. User‑Generated Content

You retain ownership of any content (voice recordings, text, profile pictures) you submit. By submitting content, you grant us and our third‑party processors a world‑wide, royalty‑free license to host, process, and display that content solely to operate and improve JournAI.

7. Third‑Party Services

The App relies on external services—AWS Bedrock, DeepGram, Amplitude Analytics, Apple Reminders API, and others—to provide core functionality. Your use of the App is subject to the respective terms of those services. We are not responsible for their acts or omissions.

8. Privacy

Our collection and use of personal data is described in the JournAI Privacy Policy. By using the App, you consent to that policy.

9. Intellectual Property

JournAI, its logos, and all related trademarks are our property or that of our licensors. These Terms do not transfer any intellectual‑property rights to you except the limited license in Section 4.

10. Feedback

If you send us ideas or suggestions (“Feedback”) you grant us a perpetual, irrevocable, royalty‑free right to use that Feedback for any purpose without compensation to you.

11. Suspension & Termination

We may suspend or terminate your access at any time, with or without notice, if we believe you have violated these Terms or to protect the App’s integrity. You may terminate at any time by deleting the App and (if desired) deleting your account in Settings.

12. Disclaimer of Warranties

THE APP IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE ERROR‑FREE OR UNINTERRUPTED.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER JournAI NOR ITS SUPPLIERS OR LICENSORS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA OR PROFITS, ARISING OUT OF OR RELATED TO YOUR USE OF THE APP, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY WILL NOT EXCEED USD 50 OR THE AMOUNT YOU PAID US (IF ANY) IN THE 12 MONTHS PRECEDING THE CLAIM—WHICHEVER IS GREATER.

14. Indemnification

You agree to indemnify, defend, and hold harmless JournAI, its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable attorneys’ fees) arising out of your use of the App or violation of these Terms.

15. Changes to These Terms

We may update these Terms at any time. We will notify you of material changes via email or in‑app notice. Continued use after the effective date constitutes acceptance of the revised Terms.

16. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of New York, USA, without regard‑of‑law principles. Any dispute arising under these Terms will be resolved exclusively in the state or federal courts located in New York County, New York, and you consent to their jurisdiction.

17. General

If any provision is found unenforceable, the remaining provisions will remain in full force. Our failure to enforce any right is not a waiver. You may not assign these Terms without our prior written consent.
